For UK business enquiries

Business services terms and boundaries.

Understand what our published prices cover, what is agreed separately and how a project is accepted and handed over. These terms apply only when incorporated into an accepted written quotation.

Last revised 23 October 2026. These are standard terms for scoped business services, not a checkout or an automatic contract. Consumer sales require a separately compliant agreement.

1. Business customers and contractual documents

These standard terms are intended for customers purchasing on behalf of a business, not personal consumers. They do not create a contract just by being viewed. EvenAI is currently operated as a sole-trader business under the trading name EvenAI, not as a limited company. A project starts only when an authorised business customer accepts a written quotation identifying the sole trader's legal name trading as EvenAI, an address where legal documents may be delivered, the customer, scope, total payable price, payment schedule and applicable terms.

The accepted quotation and any signed statement of work take precedence where they expressly vary these terms. The sole trader's legal name must appear alongside the EvenAI trading name on invoices and official business paperwork. If EvenAI is later incorporated, the new company will be identified in new contracts, invoices and business disclosures after registration. Existing sole-trader contracts do not automatically transfer to that company. The customer must identify its authorised approver and confirm the information needed for invoicing.

2. Pricing, VAT and third-party costs

The £300 Half-Day Working Prototype reserves one pre-agreed session to attempt a useful first version of one suitable task. Further half-day sessions are £300 each, only when the customer approves them in writing. For eligible small tools that EvenAI continues to host and maintain, the monthly service charge is between £39 and £99 depending on agreed complexity and support boundaries. The exact monthly price and start date are confirmed in the accepted quotation. More extensive bespoke products and third-party usage are scoped separately and are not guaranteed to fit the standard managed-tool range.

EvenAI is not VAT-registered and currently charges no VAT. The £300 half-day price and managed-tool fees of £39–£99 per month therefore have no VAT added at present. Each written quotation confirms the total due and any approved external costs. VAT treatment will be reviewed if the supplier must register or registers voluntarily; any change to a new quotation will be stated before acceptance. Existing payment obligations are not changed unilaterally.

Third-party licences, customer-system subscriptions, hosting, domains, model/API usage, text/email charges, extra environments or ongoing support are not included unless the quotation expressly says so. The quote identifies any known one-off or recurring costs, the payer and the responsible account holder. No unapproved third-party purchase is made on the customer's behalf.

3. Scope and changes

The accepted statement of work defines the workflow, supported systems, access assumptions, deliverables, tests, exclusions and customer responsibilities. The £300 half-day starts only after a free suitability conversation and agreement on one task, one accessible input format and an achievable demonstration boundary. It aims to deliver one limited working prototype with approved test data or suitably protected client data where safe and lawful, plus a short note describing what works, known limits and a quoted completion option. It is not a full production build or guarantee that technical feasibility will be established. If the prototype cannot safely be demonstrated within the session, EvenAI supplies its findings and an explanation; the agreed half-day fee remains payable unless the individual quote specifies otherwise.

After the first session, the written findings describe what works and what remains to build. The customer can stop, agree one or more additional £300 half-day sessions with explicit scope, or accept a separate written statement of work for requirements unsuited to time-boxed delivery. No single half-day guarantees a fully deployed application, regulated outcome or unrestricted AI agent. All production activation remains subject to agreed access, security and acceptance checks.

If a dependency, access limitation or new requirement changes the specification, EvenAI will issue a written change quotation before additional chargeable work begins. The customer may decline that change; any effect on the original scope, price or feasibility will be agreed in writing.

4. Payment and cancellation

Proposed standard billing: each authorised £300 half-day is payable before its booked session. A managed-tool service between £39 and £99 per month begins only after any agreed free demonstration period, when the customer has explicitly accepted the monthly scope and price. Recurring charges are not activated merely by viewing this website or receiving a prototype. Longer bespoke work, if agreed, uses payment milestones specified in the quotation. No card checkout or automatic subscription is implied by the website.

Invoices are payable within 14 calendar days unless the quotation states otherwise. If a business customer pays late, EvenAI reserves any statutory commercial debt rights available under applicable law rather than silently adding an invented recurring finance charge.

A business customer may stop a project by written notice. The parties reconcile the value of agreed work completed and any previously approved non-cancellable third-party commitments up to cancellation; prepaid amounts for undelivered work are refunded after that reconciliation. Neither side owes a speculative percentage of unperformed work merely because a project was cancelled. These terms do not override any statutory rights that apply.

5. Delivery, review and acceptance

No fixed delivery date is promised by the website. The written statement of work identifies a planned schedule and any customer inputs or external approvals on which it depends. Delays in agreed access or feedback may move the schedule, with notice to the customer.

EvenAI demonstrates the agreed normal, failure and exception cases against approved test data. The customer has five business days after a documented acceptance submission to identify material departures from the agreed specification. EvenAI corrects verified in-scope failures and resubmits them for review. Silence is not treated as automatic technical acceptance; if customer feedback is outstanding the schedule and final handover may pause.

The half-day deliverable is a limited working version where feasible and a short written record of what was attempted, what remains unfinished and what further development would cost. It is not accepted as a completed production system. No particular technical outcome, savings, uptime, AI accuracy or third-party availability is guaranteed.

6. Ownership of data, deliverables and software

The customer retains ownership of its business data, records, trademarks and materials. For a bespoke commissioned build, including paid-for project-specific half-day prototype code, once the agreed project fees are paid, the customer receives ownership of the newly created, identifiable project-specific source code and documentation to the extent EvenAI can lawfully assign those rights. A proper written IP assignment and repository handover must be included in the accepted statement of work; these page terms alone are not a substitute for the executed assignment.

EvenAI retains ownership of pre-existing tools, reusable libraries, templates, methods, prompts and general know-how. Where these are embedded in the commissioned deliverable, the accepted statement of work must grant the customer a perpetual, non-exclusive, royalty-free licence to use those embedded components as needed to run, maintain and modify its paid-for business system. Third-party and open-source components remain subject to their own licences, which must be disclosed at handover.

This bespoke-build policy does not transfer ownership of EvenAI's separate SaaS or white-label products, even when shown in the portfolio. A subscription or hosted-product licence requires its own product agreement. Customers should be given control of their own third-party business accounts where feasible; access and transition responsibilities are confirmed at handover.

7. Personal data, AI systems and security

Each project must identify what data is used and who is responsible for its lawful collection, access and instructions. Half-day prototypes default to fabricated or suitably minimised test data. Customer confidential or personal data is not imported into a hosted demonstration without appropriate written authority, safeguards and any required data-processing terms. If EvenAI processes personal data on a customer's behalf, an appropriate UK GDPR Article 28 data-processing agreement must be signed before that processing begins. It will cover purpose, duration, data categories, security, sub-processors, transfers, assistance, retention, return/deletion and audit rights.

AI-assisted systems are constrained to their agreed inputs, uses, model providers and human approval points. They are not a substitute for professional legal, financial, medical or regulated compliance decisions. EvenAI will not use customer confidential data to train its own general-purpose models without the customer's separate express authority.

8. Defect correction, support and warranties

For a commissioned build, EvenAI proposes a 30-calendar-day correction period after documented acceptance for reproducible defects that materially deviate from the written acceptance criteria. This corrects faults in the agreed deliverable; it does not include new features, changing external APIs, customer-caused changes, general maintenance or unlimited service assistance.

For an agreed low-risk half-day demonstration, up to 30 days of temporary hosting is available at no charge where safe deployment and data-handling conditions permit. If the customer wishes EvenAI to continue hosting and maintaining an eligible small tool, the written managed-service quotation sets an amount of £39–£99 per month and explains routine hosting, checks, maintenance, fault-reporting, service boundaries and termination/transition arrangements. The customer may instead request the agreed project-specific source-code handover and manage hosting and maintenance elsewhere, with no EvenAI subscription. Demo access, deletion/export of data and termination procedures are agreed in writing. New development, unsupported external services, extra environments, high-volume AI/API usage, third-party licences and enterprise-level service levels are not automatically covered. The quotation sets out any warranty limits and mandatory statutory protections, without attempting to exclude liability that cannot legally be excluded.

9. Confidentiality, disputes and applicable law

Both parties are expected to protect confidential business and technical information and restrict access to people who need it for the work, subject to lawful disclosures. Public case studies, customer names, logos and measurable commercial claims require separate permission.

The intended default governing law is England and Wales for a UK business-to-business contract, subject to the accepted quotation and mandatory law. Concerns should first be raised in writing so the parties can seek a practical resolution. Liability caps, indemnities and sector-specific risk allocation must be agreed in the executed contract, rather than assumed from these general website descriptions.
